A one-way NDA template UK businesses reach for whenever information flows in a single direction: you are handing something confidential to someone who is only receiving it, not sharing anything back. It is the right instrument when a company briefs a freelancer on an unreleased product, when a recruiter is told about a confidential hire, or when a consultant is given access to internal figures to do a piece of work. What a UK one-way NDA should cover

At its heart a one-way NDA names one Discloser and one Recipient and binds only the recipient to confidentiality. It should define confidential information broadly enough to catch what you are actually sharing, product plans, pricing, source code, customer data, whatever it is, while keeping the standard exclusions so the document stays enforceable. Information that is already in the public domain, that the recipient already lawfully held, that they independently develop, or that they must disclose under a legal or regulatory obligation should be carved out expressly. A template that omits those carve-outs tends to be either unenforceable or so broad that no sensible recipient will sign it.

The operative clauses then tell the recipient what they can and cannot do: keep the information secret, use it only for the stated purpose, and not pass it on except to people who genuinely need it and are themselves under a duty of confidence. It should state how long the duty lasts and what happens at the end: return or destroy the material and stop using it.
