What is data room Q&A?

Data room Q&A is the structured question-and-answer process during due diligence, where reviewing parties raise questions against the documents and the company answers them in one tracked place.

During due diligence, reviewers always have questions the documents alone do not answer. Data room Q&A keeps that back-and-forth organised: instead of scattering queries across email threads and calls, questions are raised, routed to the right person to answer, and recorded against the deal in one place.

A structured Q&A does three things a mailbox cannot. It stops questions getting lost or answered twice; it keeps a clear record of exactly what was asked and what the company represented in reply, which becomes part of the disclosure record; and it lets the seller see where each party's attention is focused.

On larger deals Q&A can be formalised with categories, assigned owners and priority levels. On smaller ones it can be as simple as a threaded discussion tied to the room. Either way, the point is a single, auditable channel rather than a sprawl of side conversations.
